Wu & Associates Tax Services LLC

Terms of Service

Effective Date: September 13, 2026

Welcome to the website and online services of Wu & Associates Tax Services LLC (“the Firm,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, client portal, online tools, forms, integrations, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

1. About Our Services

The Firm provides accounting, tax preparation, tax compliance, tax consulting, and related professional services.

Information made available through our website is provided for general informational purposes only. Your use of the website, submission of information, or creation of an online account does not, by itself, create a CPA-client, accountant-client, fiduciary, advisory, or other professional relationship.

A professional engagement is established only when the Firm agrees to provide services to you, typically through an engagement letter, service agreement, or other written confirmation.

If there is any conflict between these Terms and an executed engagement letter or other written agreement between you and the Firm, the terms of the executed agreement will control with respect to the applicable professional services.

2. Eligibility and Authorized Use

You may use the Services only for lawful purposes and in accordance with these Terms.

You agree not to:

  • use the Services in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to any account, system, or data;
  • interfere with the security, operation, or availability of the Services;
  • use automated means to scrape, copy, or extract information without our permission;
  • upload malicious code, viruses, or other harmful content;
  • impersonate another person or entity; or
  • use the Services in a manner that could damage, disable, or impair our systems or those of third-party service providers.

3. Accounts and Login Credentials

Certain features of the Services may require you to create an account or authenticate through a third-party provider, including Google.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You agree to provide accurate and current information and to notify us promptly if you believe your account has been compromised or accessed without authorization.

We may suspend or terminate access to an account if we reasonably believe that there has been unauthorized use, misuse, or a violation of these Terms.

4. Google Sign-In and Google API Services

The Services may allow you to sign in using your Google account or authorize access to certain Google account information.

When you use Google Sign-In or other Google API-enabled features, your use of Google services is also subject to Google's applicable terms and policies.

The Firm will request access only to Google account information reasonably necessary to provide the applicable functionality.

Our collection, use, storage, and sharing of information obtained through Google APIs is governed by our Privacy Policy and, where applicable, the Google API Services User Data Policy.

You may revoke the Firm's access to your Google account at any time through your Google Account permissions settings. Revoking access may prevent certain features of the Services from functioning.

5. Client Information and Documents

You may provide tax documents, financial records, identification information, forms, correspondence, and other information through the Services.

You represent that:

  • you are authorized to provide the information and documents you submit;
  • the information you provide is accurate and complete to the best of your knowledge; and
  • your submission does not violate the rights of any third party.

You remain responsible for reviewing information submitted to the Firm and promptly informing us of any errors, omissions, or changes.

6. Electronic Communications

By using the Services, you consent to receive electronic communications from the Firm relating to your use of the Services, including service-related notices, account notifications, document requests, and other administrative communications.

Electronic communications may be provided by email, website notification, client portal, or other electronic means.

You are responsible for maintaining a current email address and monitoring communications relating to your account or engagement.

7. No Tax, Legal, or Investment Advice Through Website Content

General content made available through the Services does not constitute individualized tax, legal, accounting, financial, or investment advice.

Tax and accounting outcomes depend on individual facts and circumstances. You should not rely on general website information as a substitute for advice provided under a professional engagement.

Unless specifically agreed otherwise in writing, the Firm does not provide legal or investment advisory services.

8. Professional Services and Filing Deadlines

If you engage the Firm to provide tax or accounting services, your responsibilities and ours will be further described in the applicable engagement letter.

You are responsible for providing complete and accurate information in a timely manner.

The Firm is not responsible for delays, penalties, interest, missed filing deadlines, or other consequences caused by incomplete, inaccurate, or untimely information provided by you, except to the extent otherwise required by applicable law or expressly agreed in writing.

9. Third-Party Services

The Services may integrate with or contain links to third-party services, including Google and other technology providers.

The Firm does not control and is not responsible for the availability, security, content, privacy practices, or performance of third-party services.

Your use of third-party services may be subject to separate terms and privacy policies issued by those providers.

10. Intellectual Property

The Services, including website content, text, graphics, logos, designs, software, and other materials created or owned by the Firm, are protected by applicable intellectual property laws.

Except as expressly permitted, you may not reproduce, distribute, modify, publish, sell, license, or create derivative works from our materials without prior written permission.

You may download or print website content solely for your personal or internal business use.

11. Service Availability

We may modify, suspend, or discontinue any part of the Services at any time.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or continuously available.

We may perform maintenance, updates, security changes, or system modifications without prior notice where reasonably necessary.

12. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

The Firm makes no warranty that the website or online systems will be uninterrupted, error-free, or free from harmful components.

Nothing in this section limits any professional obligations that may apply to the Firm under applicable law, professional standards, or a separate written engagement agreement.

13. Limitation of Liability

To the fullest extent permitted by applicable law, the Firm will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of, or inability to use, the Services.

This limitation does not apply where liability cannot legally be excluded or limited.

Any limitation of liability applicable to professional services may also be governed by your engagement letter and applicable professional standards.

14. Indemnification

You agree to indemnify and hold harmless the Firm and its owners, employees, contractors, and service providers from claims, losses, liabilities, damages, and expenses arising from your misuse of the Services, violation of these Terms, or violation of applicable law or third-party rights.

This provision does not apply to claims resulting from the Firm's own misconduct where indemnification would be prohibited by law.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

You should review the Privacy Policy before using the Services or submitting personal information.

16. Termination

You may stop using the Services at any time.

We may restrict or terminate your access to the Services if you violate these Terms, misuse the Services, create a security risk, or if continued access would violate applicable law or professional obligations.

Termination of website access does not automatically terminate a separate professional engagement unless otherwise provided in the applicable engagement letter.

17. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the “Effective Date” above and may provide additional notice where required by law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute relating solely to use of the website or online Services will be subject to applicable law and any dispute-resolution provisions contained in a separate agreement between you and the Firm.
